I. Floatm LLC will provide complimentary to the Host Member:

A system for broadcasting Floatm’s network within your business location, mounted in a specific location that is mutually agreeable. Equipment includes a personal computer, a 22” flat panel LCD monitor, all related mounting equipment, firewall, cabling and wiring, plus software to securely manage system activities.

Repair and maintenance of each system are no cost, except resulting from any negligence or willful misconduct of the Host Member.

Assurance that system configuration will not allow Floatm to access Host Member’s computers or data.

A system that requires minimal utilization of Host Members’ internet bandwidth during normal business hours.

II. Host Members agree to:

Sign Location*

A) Prominently feature the system in the agreed upon location(s).

Provide Floatm 24/7 access to Host Members’ Internet service/wifi, and allow Floatm to utilize broadband connection to deliver advertisements and 24/7 access to Host Member’s electrical power to the extent necessary to power each system.

Not hold Floatm responsible for any repairs to Host Member’s physical space due to relocation or removal of system.

Allow Floatm and its agents reasonable access to Host Member’s physical space for installation, maintenance, monitoring and removal of equipment and materials.

Notify Floatm if Host Member will be relocating within the term of this Agreement by way of sixty (60) days written notice of relocation date.

Promptly report any problems with the operation of the system to Floatm and to reasonably protect the system from vandalism, tampering, theft, fire, infringement and any other hazard.

Reimburse Floatm for any loss or damage to the system and its equipment (unless cause by Floatm or its agents) of if not returned to Floatm upon termination of this Agreement.

Not allow any other web based network commercial television or LCD display advertising with Host Member’s physical location during the term of this Agreement.

Not adjust, tamper, disturb, relocate or otherwise modify the system and Floatm’s equipment by any means, including unplugging, turning off blocking or covering up the system from plain sight.

III. All equipment remains Floatm property.

IV. Equipment is used only for the purposes of displaying Floatm’s network. All other use is prohibited.

V. Term

a. This Agreement shall remain in effect for an initial term of 6 months commencing upon installation of such system as defined herein. Following the initial term, this Agreement will automatically renew for the same months stated above, unless either party provides written notice to terminate notice no later than sixty (60) days from the renewal date of the Agreement.

b. In the event of the Host Member location being inoperable, due to whatever reasons that would temporarily halt a Host Members business, this agreement shall still remain in effect until the end of the initial service terms agreed upon.

c. In the event that you would like to terminate this agreement early, a 50% fee charge of the remaining term of the Host Member’s agreement, will be assessed.

VI. Abuse

The inclusion of any advertisements or uploads by Host Member’s are subject to the terms and conditions of the Terms of Use on Floatm’s website. Abuse of any copyright or other law in Host Member attempts to upload advertisements on Floatm’s network may be cause for Floatm to immediately terminate this Agreement and remove its system and equipment from Host Member.

VII. Liability

This Agreement is governed by the laws of the State of Michigan. Floatm reserves all rights in law and equity. IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF ANY BREACH OF THIS AGREEMENT OR RESULTING DIRECTLY OR INDIRECTLY, OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY THERE OF.

IX. This Agreement is binding upon the heirs, successors and assigns of Host Member.

X. The signatory below warrants that they are authorized on behalf of Host Member, to bind Host

Host Member has read and agrees to the terms and conditions of this agreement and the Terms of Use set forth on Floatm’s website, regarding one or more systems as described below that will show and display Floatm’s web-based local advertising network with still image advertisements provided by Floatm’s subscribing/posting advertisers.*
